Terms of Service

1. Acceptance of Terms

By accessing or using the Village mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App.

2. Description of Service

Village is a social to-do list that allows users to:

  • Create and manage personal tasks, events, and notes
  • Share items with friends and family
  • Receive notifications via push notifications
  • Track completion of recurring tasks
  • Engage with public items from the community
  • Village Chat: A conversational SMS service that lets you create and manage reminders by texting our toll-free number. Messages are processed by AI to understand your intent and generate reminders, images, and responses.

3. User Accounts

To use Village, you must:

  • Provide a valid phone number for verification
  • Be at least 13 years of age
  • Provide accurate and complete information
  • Maintain the security of your account
  • Notify us immediately of any unauthorized use

4. User Conduct

You agree not to:

  • Use the App for any illegal purposes
  • Send spam or unsolicited reminders
  • Harass, abuse, or harm other users
  • Post inappropriate, offensive, or harmful content
  • Attempt to gain unauthorized access to the App or its systems
  • Interfere with the proper functioning of the App

5. Text Messaging and Calls

5.1 General

You may provide us with your telephone number as part of creating your account or otherwise. By providing a telephone number, you consent to receiving autodialed or prerecorded calls and/or text messages from us, or on our behalf, at such telephone number. Consent to receive automated text messages is not a condition of any purchase or use of the Service.

5.2 Consent to Transactional Communications

You expressly consent and agree to Village contacting you using written, electronic, and/or verbal means, including prerecorded/artificial voice messages and/or using an automatic telephone dialing system to call or text your mobile telephone number, as necessary to complete transactions requested by you and to service your account. Transactional messages include:

  • SMS verification codes for account authentication
  • Reminder notifications (due reminders, early warnings)
  • Notifications when you are invited to items by other users
  • Notifications about completions, kudos, nudges, and comments on your items
  • SMS invitations sent on your behalf to friends you invite to items
  • Push notifications for items you've created or accepted
  • Village Chat responses to messages you send to our SMS number

You cannot opt out of transactional messages necessary to service your account (such as verification codes) while your account remains active.

5.3 Consent to Promotional Messages

By providing your phone number and using the Service, you may also enroll in receiving recurring SMS messages for account-related news, daily summaries, feature updates, and promotional offers related to Village products and services. By enrolling, you certify that the mobile number you provide is true and accurate, and you acknowledge that message and data rates may apply. Check your mobile plan and contact your wireless provider for details about your text plan.

5.4 Opting Out of Messages

You may opt out of promotional and non-essential text messages at any time by replying STOP, QUIT, END, CANCEL, UNSUBSCRIBE, or REVOKE to any message from Village. After opting out, you may receive one (1) final text message confirming your request. To re-subscribe, reply START to any Village number. Reply HELP for assistance.

You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider. Message frequency varies based on your usage and notification preferences.

5.5 Village Chat

Village Chat is an AI-powered conversational SMS service available via our toll-free number (866) 883-6905. By texting this number, you consent to the following:

  • AI Processing: Your messages are processed by artificial intelligence (Google Gemini) to understand your intent, create and manage items, and generate images on your behalf.
  • Conversation Context: Message content is stored temporarily for conversation context within a 30-minute session window to provide coherent multi-turn conversations.
  • Image Generation: You may request AI-generated images, which are created using third-party AI models and delivered via SMS.
  • Toll-Free Service: Village Chat uses a toll-free number. Village does not charge for messages sent or received. Standard carrier message and data rates may apply.
  • No Emergency Use: Village Chat is not intended for emergency communications. Message delivery is not guaranteed and may be subject to carrier delays.

5.6 SMS Disclaimer

Village assumes no liability or responsibility for any failure to send or receive a text message, or for any failure of a text message to be timely delivered. Wireless carriers are not liable for delayed or undelivered messages. Delivery of text messages is subject to effective transmission from your wireless service provider and is outside of our control.

6. Privacy and Data Use

Your use of the App is also governed by our Privacy Policy. By using Village, you consent to the collection and use of your information as described in our Privacy Policy.

7. User Content

You retain ownership of any content you create in the App, including reminders, notes, and images. By creating public reminders, you grant Village a non-exclusive, worldwide, royalty-free license to display and distribute this content within the App.

8. Intellectual Property

The Village App, including its design, features, and content, is owned by Village and protected by intellectual property laws. You may not copy, modify, or distribute any part of the App without our written permission.

9. Disclaimer of Warranties

The App is provided "as is" without warranties of any kind, either express or implied. We do not guarantee that the App will be error-free, uninterrupted, or meet your specific requirements.

10. Limitation of Liability

To the fullest extent permitted by law, Village shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App.

11. Indemnification

You agree to indemnify and hold harmless Village from any claims, damages, or expenses arising from your use of the App or violation of these Terms.

12. Termination

We reserve the right to terminate or suspend your account at any time for violation of these Terms or for any other reason at our sole discretion. You may delete your account at any time through the App settings.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes through the App or via email. Your continued use of the App after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by the laws of the State of New York, without regard to its conflict of law provisions.
